Seller Onboarding Agreement

This Caahat Artist Onboarding Agreement ("Agreement") is entered into by and between Caahat ("Platform" or "Caahat") and the individual or entity onboarding as an Artist ("Seller") to showcase and sell their products on Caahat's online platform.

1. Introduction

1.1. Caahat is an online marketplace that connects artists with buyers interested in unique, handmade, and culturally significant art pieces.

1.2. This Agreement outlines the terms and conditions under which the Artist may list, promote, and sell their artwork on the Caahat platform.

2. Registration and Eligibility

2.1. To onboard, the Artist must provide valid identification, contact details, and any requested KYC (Know Your Customer) documentation.

2.2. The Artist confirms that they are legally eligible to enter into this Agreement and conduct commercial activities in compliance with local and national laws.

3. Scope of Services

3.1. Listing and Promotion: Caahat grants the Artist a non-exclusive, revocable license to list and promote their artwork on Caahat's platform.

3.2. Marketplace Features: Caahat provides tools and services, such as artist profiles, listing options, marketing support, and promotional events, to enhance the visibility of the Artist's work.

3.3. Engagement with Buyers: The Artist may engage with buyers via approved Caahat channels, subject to platform policies, to clarify product details or discuss commissioned work.

4. Artist Responsibilities

4.1. Authenticity and Quality: The Artist guarantees that all listed artwork is original, of high quality, and compliant with the details specified in each listing.

4.2. Inventory Management: The Artist is responsible for updating the availability and inventory of their artwork and notifying Caahat promptly of any changes.

4.3. Timely Order Fulfillment: The Artist agrees to fulfill orders promptly and accurately, meeting any specified delivery timelines.

4.4. Compliance with Caahat's Policies: The Artist agrees to comply with Caahat's code of conduct, quality standards, and any other applicable policies. Violation of policies may result in suspension or termination of access to the platform.

5. Intellectual Property and Content Use

5.1. Ownership: The Artist retains full ownership of their artwork.

5.2. License for Promotion: By listing artwork on Caahat, the Artist grants Caahat a worldwide, non-exclusive, royalty-free license to use, display, and promote their artwork for marketing, advertising, and platform development purposes.

5.3. Content Responsibility: The Artist is responsible for ensuring that all images, descriptions, and listings provided to Caahat do not infringe any third-party rights, including copyright, trademark, or intellectual property rights.

6. Payment Terms

6.1. Commission Structure: Caahat will retain a commission of 20% from each sale completed through the platform.

6.2. Payment Schedule: Payments for completed sales will be remitted to the Artist within 7 days following the successful delivery and acceptance of the artwork by the buyer.

6.3. Transaction Fees: Caahat reserves the right to deduct transaction or processing fees from each payout as applicable under platform policies.

7. Returns, Refunds, and Disputes

7.1. Return Policy Compliance: The Artist agrees to adhere to Caahat's return and refund policies. In the event of a valid return or refund request, the Artist may be responsible for reimbursement as per Caahat's guidelines.

7.2. Dispute Resolution: In case of disputes with buyers regarding quality, fulfillment, or product details, the Artist agrees to cooperate with Caahat to reach a resolution, including possible returns or refunds as deemed necessary by Caahat.

8. Termination

8.1. Termination by Artist: The Artist may choose to terminate their listing agreement with Caahat by providing 21 days' written notice, subject to fulfilling all outstanding orders and financial obligations.

8.2. Termination by Caahat: Caahat reserves the right to terminate this Agreement at any time, with or without cause, by providing written notice to the Artist. Grounds for immediate termination include violations of Caahat's policies, fraudulent activity, or repeated complaints regarding quality or fulfillment.

8.3. Effect of Termination: Upon termination, the Artist's listings will be removed from the platform, and any pending payouts will be processed in accordance with Caahat's policies.

9. Confidentiality

9.1. The Artist agrees to keep any proprietary or confidential information obtained through Caahat confidential and not to disclose it to any third party without Caahat's prior written consent.

10. Limitation of Liability

10.1. Caahat shall not be liable for any indirect, incidental, or consequential damages arising out of or related to this Agreement. Caahat's total liability under this Agreement shall not exceed the total amount of commissions received by Caahat from the Artist's sales on the platform.

11. Governing Law and Jurisdiction

11.1. This Agreement is governed by and construed in accordance with the laws of India, without regard to conflict of law principles.

11.2. Any disputes arising under this Agreement shall be subject to the exclusive jurisdiction of the courts of Chandigarh, based on Caahat's business location or convenience for both parties.

12. Miscellaneous

12.1. Entire Agreement: This Agreement constitutes the entire agreement between Caahat and the Artist, superseding all prior agreements or understandings, whether written or oral.

12.2. Modifications: Caahat reserves the right to modify this Agreement at any time. The Artist will be notified of any changes, and continued use of the platform constitutes acceptance of the revised terms.
